The company's stock will remain suspended for August 15th.

The main business of the target company's time interconnection is mobile internet marketing service.

Mobile terminals, for customers in the mobile Internet media delivery platform and dispersed mobile terminal traffic for accurate marketing promotion.

The paction plan shows that the estimated value of the 100% equity interest of the time assets linked by the income method is 956 million yuan, and the time net book assets (the parent company's financial statements are not audited) is 7 million 283 thousand and 200 yuan, the estimated increment rate is 13026.10%, and the time interconnection is attributable to the rights and interests of the parent company (the consolidated financial statements are not examined), which is 29 million 213 thousand yuan, and the estimated increment rate is 3172.52%.

Financial data show that the operating income and net profit in 2014 were 549 thousand and 800 yuan and -33.84 million yuan respectively; in 2015, the time interconnect achieved 126 million yuan in operating income and a net profit of 11 million 65 thousand and 100 yuan.

In 2016 1-4, its operating income was 131 million yuan and net profit was 12 million 669 thousand yuan.

According to the relevant stipulations of the performance compensation agreement, the net profit realized by the performance compensation obligor in the 2016, 2017 and 2018 years (net profit after deducting non recurring gains and losses) is no less than 68 million yuan, 90 million yuan and 117 million yuan respectively.
